They have the most telegraphed move set, their dodge attacks are easily read, they are frail, their attacks can't do damage if you block them. They are a counter attacker, they are meant to punish people who are overly aggressive, If you encounter one, play defensive. Their attack pool is limited and if you offer them no attacks to counter then they will gladly serve some. Parry...that's half their stamina gone. Fight or flight kicks in, if they stays, make them wish they didn't. I mained the Warden in the open beta, now I main the Orochi. While playing as the Warden I felt confined because of how small the moveset was, and I moved to the Orochi because I feel like I'm always able to learn something new and improve upon my gameplay. During the beta though, I rarely died when coming up against an Orochi because if you focus on what they do, its easy enough to figure out what they'll do next.
The spin move isn't a problem with just the Orochi, many other characters have a move that they can use after dodging. Guard break is broken in its core, it's not as though the Orochi breaks it any further. The second guaranteed hit is prevalent on many other character as well. His heavy attacks are just as slow as most other characters, his lights are fast (Like a light attack should be). The throw distance makes it almost impossible to actually get an instant terrain kill in an open fight. You didn't state it, but his dodge back into a heavy dash attack is incredibly telegraphed, the only way it hits most of the time is if the opponent misses an attack of their own.
The Orochi is very reactive in nature, so if you just wait for him to make a move, you can usually come out on top. Just take it slow and don't be impatient.

The main reason he'd be winning is because he is a great punisher and has a counter attacking style. You have to make mistakes in order for Orochi to find a safe way in to do some damage.
Hes not shoulder charging or headbutting for free damage. His only unblockable requires a deflect.
All you have to do is play defensively and stop letting orochi punish you for making mistakes.
Only the tournament winners and actual successful players should be chiming in about character balance because honestly If you are complaining about Orochi you do not have a proper grasp of the basics of this game.
People need to swallow their ego. The character is not broken; your thumbs are. orochi is simply a scrub stomper.
An orochi is waiting for an attack to do a dodge attack? Simple solution, feint an attack, wait for him to attack and parry the side hit. Then he tries to attack you and can only attack from 1 direction reliably, up. Easy solution for terrible players who don't know how to play.
